Discounts

i)

Annual Turnover Terms - Discounts are pre-determined on an annual turnover commitment and are reviewed quarterly in accordance with the previous 12 months turnover.
As with products, spare parts fall into two discount bands 'B' and 'A'.
All items in the Spare Parts Catalogue, with the exception of listed Special Discount Items, attract discount levels as shown. Warranty Spares may also, periodically, offer obsolete parts at flat rate discounts and the discount shown applies regardless of the Reseller discount level.

ii)

Cash with order - An additional 2% discount off the total net Reseller price may be deducted if cash is sent with order. This excludes net price items.

Prices - All prices quoted are subject to VAT at the current rate.

Terms of Payment - Payment terms are strictly 30 days net from the date of invoice.

Order Type - All spare parts or products ordered as spares must be ordered by "ORDER TYPE ZSP".
This enables Mitsubishi Electric's PC Division to review the ASC/TPM stock holding against the recommended 2% agreement.

Delivery

i)

Stocked items - Orders received prior to 2:30pm where stock is immediately available from the warehouse will be despatched via TNT, to your premises that evening for "Next Day" delivery free of charge on UK mainland. Should you require delivery at a pre-determined time such as "pre 9:00am", "pre-10:30am" or even "Sat am" then this can be processed at a premium and should be clearly marked on your order with acceptance of the delivery charge. Delivery to a different address to that of the purchasing company also incurs an extra delivery charge.

ii)

Non stocked items - Orders received for current parts that are not held in stock will be shipped within 5 working days from the date of the order (subject to availability). If an order is placed after 2:30pm or on a Friday, an extra working day will be required.

iii)

Discrete components - Orders received for discrete components that are not held in stock will be shipped within 30 working days from the date of order (subject to availability). If an order is placed after 2:30pm or on a Friday, an extra working day will be required.

Minimum Quantity or Value -  Mitsubishi Electric's PC Division reserves the right to sell spare parts by minimum quantity or value - ie. SCREWS @ £0.01 RRP ea. will incur a minimum order quantity of 250. Any single item that is less than £10.00 must be part of an order greater than £25.00.

Cancellation - Mitsubishi Electric's PC Division will endeavour to meet the reasonable requests of its authorised ASC/TPM's but reserves the right to impose a cancellation charge of 15% of the value of the order.

Warranty - All purchased spare parts carry a 12 months warranty which operates on the basis of the faulty item being returned to the appropriate Mitsubishi Electric's PC Division warranty agent.

There are three agreements that apply to ASC's regarding Warranty Services :-

There are two agreements that apply to TPM's regarding Warranty Services :-

   Warranty Agreement

International Distributors

Mitsubishi Electric's PC Division will be entitled to alter prices or discount rates from time to time for whatever reason and, except in circumstances beyond it's control, will give the Distributor at least 30 days notice of the change.

The legal and equitable title to each shipment of products will not pass to the Distributor until the price for that shipment and all other sums due under the International Distributor Agreement at the date of delivery of that shipment have been paid in full.

These prices are FCA (Free Carrier ........named place), subject to Incoterms (1990 edition).

Any products sold or delivered within the U.K., will be subject to the current rate of V.A.T.

If C & F, CIF or free domicile terms are agreed upon, then the payment of the freight and insurance charges etc. must be made at the same time as the payment for the goods.

Some of the products and technologies in this catalogue are subject to the United Kingdom and/or COCOM strategic restrictions, and diversion if exported to those specified countries as in the Export of Goods (Control) Order 1992, diversion contrary thereto is prohibited. In addition, some or all of the products would be subject to export regulations if they are exported for use or known to be used for Atomic, Biological, Chemical weapons or missiles.
You would be advised to take any precautions and licences if you have any doubts.

The above terms and conditions do not affect in any way the Distributor contract signed by the Distributor and Mitsubishi Electric's PC Division.
